TERMS OF SERVICE

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Resume Target AI, Inc. ("Resume Target AI," "Company," "we," "us," or "our") governing your access to and use of the website located at resumetargetai.com and all related services, applications, and platforms (collectively, the "Services").

PLEASE READ THESE TERMS CAREFULLY BEFORE USING OUR SERVICES. BY ACCESSING OR USING THE SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO THESE TERMS, YOU MAY NOT ACCESS OR USE THE SERVICES.

1. ACCEPTANCE OF TERMS

1.1 By creating an account, accessing, or using our Services, you represent and warrant that you: (a) are at least 16 years of age; (b) have the legal capacity to enter into a binding agreement; (c) are not prohibited from using the Services under applicable law; and (d) will comply with these Terms and all applicable laws and regulations.

1.2 If you are using the Services on behalf of an organization or entity, you represent and warrant that you have the authority to bind that organization to these Terms, and references to "you" shall include both you individually and the organization.

2. DESCRIPTION OF SERVICES

2.1 Resume Target AI provides an online platform for resume creation, optimization, and analysis, including but not limited to:

• Resume building tools with customizable templates and sections
• Applicant Tracking System (ATS) compatibility scoring and analysis
• AI-powered content optimization and keyword recommendations
• Job description parsing and matching
• Resume export in multiple formats (PDF, DOCX)
• Resume storage and management

2.2 We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Services.

3. USER ACCOUNTS

3.1 Account Registration. To access certain features of the Services, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

3.2 Account Security. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security.

3.3 Account Termination. We reserve the right to suspend or terminate your account at any time, with or without cause, and with or without notice. Upon termination, your right to use the Services will immediately cease.

4. USER CONTENT AND CONDUCT

4.1 User Content. You retain ownership of all content you submit, upload, or create through the Services ("User Content"), including resumes, personal information, and job descriptions. By submitting User Content, you grant us a non-exclusive, worldwide, royalty-free license to use, process, store, and display such content solely for the purpose of providing and improving the Services.

4.2 Content Accuracy. You represent and warrant that all User Content you submit is accurate, truthful, and does not contain false or misleading information. You are solely responsible for the accuracy and legality of your User Content.

4.3 Prohibited Conduct. You agree not to:

• Use the Services for any unlawful purpose or in violation of any applicable laws or regulations
• Submit false, misleading, or fraudulent information in resumes or other content
• Impersonate any person or entity or misrepresent your affiliation with any person or entity
• Interfere with or disrupt the Services or servers or networks connected to the Services
• Attempt to gain unauthorized access to any portion of the Services or any other systems or networks
• Use any automated means to access the Services or collect data from the Services
• Reverse engineer, decompile, or disassemble any aspect of the Services
• Upload or transmit viruses, malware, or other harmful code
• Violate the intellectual property rights of Resume Target AI or any third party

5. SUBSCRIPTION AND PAYMENT TERMS

5.1 Subscription Plans. Certain features of the Services may require a paid subscription. Subscription plans, pricing, and features are described on our website and may be modified at any time.

5.2 Payment. By subscribing to a paid plan, you agree to pay all applicable fees. Payments are processed through third-party payment processors, and you agree to their terms of service. All fees are non-refundable except as expressly stated in these Terms or required by applicable law.

5.3 Automatic Renewal. Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You may cancel your subscription at any time through your account settings.

5.4 Price Changes. We reserve the right to change subscription prices. Price changes will be communicated in advance and will apply to the next billing cycle following notice.

5.5 Free Trials. We may offer free trials of paid features. At the end of a free trial, you will be automatically charged for the subscription unless you cancel before the trial ends.

6. INTELLECTUAL PROPERTY

6.1 Our Intellectual Property. The Services, including all content, features, functionality, software, designs, text, graphics, logos, and trademarks, are owned by Resume Target AI or its licensors and are protected by copyright, trademark, and other intellectual property laws.

6.2 Limited License. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal, non-commercial purposes.

6.3 Restrictions. You may not: (a) copy, modify, or distribute any part of the Services; (b) use the Services to create a competing product or service; (c) remove or alter any proprietary notices or labels; or (d) sublicense, sell, or transfer your rights under these Terms.

6.4 Feedback. If you provide feedback, suggestions, or ideas regarding the Services, you grant us a perpetual, irrevocable, royalty-free license to use such feedback for any purpose without compensation or attribution.

7. AI-GENERATED CONTENT DISCLAIMER

7.1 The Services utilize artificial intelligence and machine learning technologies to provide resume optimization suggestions, ATS scoring, and content recommendations ("AI Features").

7.2 No Guarantee of Results. AI Features are provided as tools to assist you in improving your resume. We do not guarantee that following AI recommendations will result in job interviews, employment offers, or any specific outcome.

7.3 User Responsibility. You are solely responsible for reviewing, verifying, and approving all AI-generated suggestions before incorporating them into your resume. You should ensure that all content in your resume is accurate and truthful.

7.4 Limitations. AI Features may not always produce accurate, complete, or appropriate results. ATS scoring is an estimate based on common ATS algorithms and may not reflect the actual scoring of any specific employer's system.

8. DISCLAIMERS

8.1 THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND TITLE.

8.2 We do not warrant that: (a) the Services will meet your requirements; (b) the Services will be uninterrupted, timely, secure, or error-free; (c) the results obtained from the Services will be accurate or reliable; or (d) any errors in the Services will be corrected.

8.3 Resume Target AI is not an employment agency, recruiter, or career counselor. We do not guarantee employment or job placement. The Services are tools to assist you in creating and optimizing your resume.

9. LIMITATION OF LIABILITY

9.1 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL RESUME TARGET AI, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICES.

9.2 IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR (B) ONE HUNDRED DOLLARS ($100).

9.3 The limitations in this section apply regardless of the theory of liability, whether based on warranty, contract, statute, tort (including negligence), or otherwise, and even if we have been advised of the possibility of such damages.

10. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Resume Target AI, its affiliates, and their respective directors, officers, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Services; (b) your User Content; (c) your violation of these Terms; (d) your violation of any rights of another party; or (e) your violation of any applicable laws or regulations.

11. DISPUTE RESOLUTION

11.1 Governing Law. These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

11.2 Informal Resolution. Before initiating any formal dispute resolution proceeding, you agree to first contact us at legal@resumetargetai.com to attempt to resolve the dispute informally. We will attempt to resolve the dispute within 30 days.

11.3 Arbitration. If informal resolution is unsuccessful, any dispute arising out of or relating to these Terms or the Services shall be resolved by binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted in Wilmington, Delaware, and judgment on the award may be entered in any court having jurisdiction.

11.4 Class Action Waiver. YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

12. TERMINATION

12.1 You may terminate your account at any time by following the instructions in your account settings or by contacting us.

12.2 We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.

12.3 Upon termination, your right to use the Services will immediately cease. Sections 4.1 (User Content ownership), 6 (Intellectual Property), 8 (Disclaimers), 9 (Limitation of Liability), 10 (Indemnification), 11 (Dispute Resolution), and 13 (General Provisions) shall survive termination.

13. GENERAL PROVISIONS

13.1 Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Resume Target AI regarding the Services and supersede all prior agreements and understandings.

13.2 Severability. If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force and effect.

13.3 Waiver. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

13.4 Assignment. You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.

13.5 Notices. We may provide notices to you via email, posting on the Services, or other reasonable means. You may provide notices to us at the contact information below.

13.6 Force Majeure. We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.
